Name
The name of this corporation is: San Francisco Lesbian, Gay, Bisexual, Transgender Pride Celebration Committee (SF Pride).
Purposes
This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public and charitable purposes.
The specific public purposes for which the corporation is organized include, but are not limited to:
- sponsoring and organizing events and activities focused on and around, but not limited to, the month of June each year, in commemoration of the action and spirit of the Stonewall Resistance of 1969–the symbolic renewal of the Lesbian/Gay Rights movement;
- coordinating, facilitating, and serving the community by providing the mechanism for the parade/march and celebration/rally within which the diverse elements of the community can present themselves each in their own way;
- organizing and sponsoring events which promote the full expression of the social and civil rights of our lesbian, gay, bisexual, transgender, queer + communities;
- educating and informing the general populace regarding our communities and the rights, responsibilities and contributions of lesbian, gay, bisexual, transgender, queer + communities in our culture, both past and present, including all other legal and charitable purposes.

Dedication
- The property of this corporation is irrevocably dedicated to charitable purposes, and no part of the net income or assets of the corporation shall ever inure to the benefit of any director, officer or member of this corporation, or to the benefit of any private individual.
- Upon the winding up and dissolution of this corporation, and after paying or adequately providing for the debts and obligations of the corporation, the remaining assets shall be distributed to a nonprofit organization that is organized and operated exclusively for charitable and public purposes and that has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Code and Section 23701(d) of the Revenue and Taxation Code of the State of California, if domiciled within this state.
Limitations
- This Corporation is organized exclusively for charitable purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code. Notwithstanding any other provisions of these articles, the corporation shall not carry on any other activities not permitted to be carried on;
- by a corporation exempt from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code of 1954, as amended (or the corresponding provision of any future United States Internal Revenue Law), or
- by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code of 1954, as amended (or the corresponding provision of any future United States Internal Revenue Law).
- No substantial part of the activities of this corporation shall consist of the carrying on of propaganda or otherwise attempting to influence legislation, nor shall this corporation participate in, or intervene in (including the publishing or distributing of statements), any political campaign on behalf of any candidate for political office.
